2000-01: Expanding the Board of Directors

Whereas, Sections 10 and 12 of the NFB:AE By laws currently state:

"10. Under the leadership of the president the property and business of the Corporation shall be managed by a board of six (6) directors of whom four (4) shall constitute a quorum. Directors must be individuals, 18 years of age, with power under law to contract.

All directors must be blind and active members of the Corporation.

12. Directors shall be elected for a term of two (2) years by the members at an annual meeting of members. The president, second vice president and secretary shall be elected during odd numbered years, and the first vice president, treasurer and other board members during even numbered years." and

Whereas, it is desirable to expand the NFB:AE's Board of Directors by one Director at Large in order to facilitate the growing work of the NFB:AE and to avoid deadlocks among Board members;

Be it resolved that the NFB:AE Board of Directors concur in the following and recommend its adoption by the membership:

1. That the reference to 6 (six) in the first sentence of Sec. 10 of the By laws be amended to "7 (seven);

2. That Section 12 of the NFBAE By laws be amended to state:

"12. Directors shall be elected for a term of two (2) years by the members at an annual meeting of members. The president, second vice president, secretary and one member at large shall be elected during odd numbered years, and the first vice president, treasurer and one member at large during even numbered years." and

3. At the next duly called membership meeting, once this resolution is adopted, this additional member at large shall be elected by the membership and said individual shall be an ex officio member of the Board of Directors until this amendment is approved by industry Canada, at which time the said individual shall become a member of the Board of Directors For the remaining period of this term of office with full rights and responsibilities of a member of the NFB:AE board of Directors.
